Welcome to Mueshi! Our platform is dedicated to facilitating charitable sales promotions by connecting sellers with nonprofits to support various causes. By registering an account or using our services, you are agreeing to our Terms of Service outlined below. These terms govern your use of Mueshi and all associated services. Please ensure you read them carefully to understand your rights and obligations.

Acceptance of Terms

By creating an account and clicking to accept, you agree to be bound by these terms, which form a legally binding contract between you and Mueshi. If you do not agree to these terms, do not use our services.

Changes to Terms

We reserve the right to modify these terms at any time. Any changes will be posted on our platform with an updated revision date. By continuing to use our services after these changes are posted, you agree to the revised terms.

1. 1. Overview of the Program

   Donation Mechanism: When you sell items on Mueshi, a specified percentage of the sale proceeds will be donated to the designated nonprofit organization.

   Sale Proceeds: This is the total amount paid by the buyer for each item, excluding any taxes or shipping costs.

   Item Listing: You can list and update the items you wish to sell on our accessible platform schedule.

   No Guarantee of Success: We provide a venue for your charitable promotions and sales; however, the success of these efforts is influenced by market conditions, buyer interest, and other external factors. We cannot guarantee specific results from using our platform.

2. 2. User Responsibilities

   Nonprofit's Role:

   Use of Funds: Must be utilized to support the nonprofit's mission.

   Acknowledgements: Reasonable efforts to recognize Mueshi and the Seller in public communications.

   Donation Receipts: Provide receipts within 30 days of receiving donations.

   Seller's Role:

   Sales: Allow Mueshi to list items on the platform.

   Fees: Pay a service fee to Mueshi, deducted from the sale proceeds.

   Agency: Authorize Mueshi to handle donations on their behalf.

   Buyer's Role

   Purchasing: Agree to engage in transactions responsibly and ethically on the platform.

   Payment: Ensure timely payment for purchased items via the provided payment mechanisms on the platform.

   Compliance: Adhere to all terms and conditions of the sale as stated by the seller and Mueshi, including any return policies or guarantees specified.

   Mueshi's Role

   Donation Handling: Transfers donations to nonprofits as per agreed terms.

   Financial Balances: Ensures timely payment of net proceeds to sellers.

3. 3. Term and Termination

   Duration: The terms of this agreement are effective unless and until terminated by either you or Mueshi. You may terminate these terms at any time by notifying us that you no longer wish to use our services, or when you cease using our site.

   Termination by Mueshi: Mueshi may terminate this agreement at any time without notice, which will result in the deactivation or deletion of your account and access to your account, and the forfeiture and relinquishment of all content in your account. Mueshi reserves the right to refuse service to anyone for any reason at any time.

4. 4. Intellectual Property

   All content published and made available on our site is the property of Mueshi and the site’s creators. This includes, but is not limited to images, text, logos, documents, downloadable files and anything that contributes to the composition of our site.

5. 5. Data Use and Privacy

   By using our platform, you agree to the collection, use, and sharing of your data in accordance with our Privacy Policy. You acknowledge that the transmission of information over the internet is not entirely secure and, hence, any transmission of data is at your own risk.

6. 6. Legal Compliance General Compliance:

   You agree to comply with all local, state, national, and international laws and regulations applicable to your use of our platform. This includes, but is not limited to, laws relating to fundraising, privacy, and intellectual property rights.

   Specific Compliance for Sellers and Buyers: If participating as a seller or buyer on the platform, you are responsible for adhering to all laws and regulations that apply to the sale and purchase of goods, including any specific regulations governing charitable fundraising and commercial transactions.

   Data Protection Compliance: In using our services, you agree to adhere to all applicable data protection laws concerning the collection, processing, and management of personal information.

7. 7. Electronic Communications:

   By using our services, you consent to receiving electronic communications from us. These may include emails, texts, or notices posted on our site. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

8. 8. Dispute Resolution:

   In the event of a dispute, we urge you to contact us first to seek a resolution. If mutual resolution is not achieved, the dispute may be subjected to binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration will be conducted in Wilmington, New Castle County, Delaware and the language of arbitration will be English.

9. 9. General Provisions Notices:

   All communications must be in writing and will be considered delivered when received. Governing Law: Governed by the laws of the State of Delaware.

    By checking the "I Agree" checkbox when creating an account or logging into the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
